PATHFABRIC TERMS OF SERVICE

1. Agreement and provider
These Terms of Service govern use of Pathfabric. "IT7," "we," "us," and "our" mean IT7 Networks Inc. "You" means the account holder and every person using the account or services through it. By registering, funding an account, ordering a service, or using Pathfabric, you accept these Terms, the Privacy Policy, and the Acceptable Use Policy.
You must be at least 18 years old and legally able to enter into this agreement. If you use Pathfabric for an organization, you represent that you can bind that organization.
2. The service
Pathfabric provides customer-managed portable IPv4 transit delivered through supported tunnel configurations and related portal functions. Each service is associated with the selected location, plan, dedicated public IPv4 address, tunnel, and remote system. You are responsible for your remote system, tunnel endpoint, operating-system configuration, credentials, applications, data, routing choices, and backups.
You receive a limited right to use assigned addresses and configuration while the applicable service remains active. IP addresses and network resources remain under our control and may not be sold, transferred, announced independently, or treated as your property.
3. Accounts and security
You must provide accurate account information and keep your email current. Accounts and services may not be sold, assigned, shared as a commercial account-access product, or transferred without our written approval.
You are responsible for passwords, two-factor credentials, recovery codes, ticket links, installer tokens, private keys, and all activity performed through your account or systems. Notify us promptly through the ticket system if you suspect unauthorized access.
4. Prices and billing
All amounts are in United States dollars. Services are charged according to the prices and billing model displayed when ordered. Calendar-month billing periods follow America/Los_Angeles time.
Metered services are charged for active service time based on the selected speed plan, rounded up by hour, plus measured transfer. Inbound and outbound transfer are accumulated and priced independently using the displayed marginal tiers. Ordering a metered service requires $1.00 in unreserved available balance. The $1.00 payment is charged only after provisioning succeeds and becomes service credit used toward charges for that service. No metered service payment is charged if provisioning does not succeed. Unused service credit is not returned if an active service is deleted. Deleting and recreating a service creates a new charge and service credit after the replacement service is provisioned.
Unmetered services are prepaid for the selected committed bandwidth and have no per-GiB transfer charge. An order during the first billing hour prepays the current calendar month. A later order prepays the rounded-up current-hour remainder of the calendar month plus the following complete calendar month. The complete amount displayed at order must be available and is deducted immediately. Each later renewal prepays one complete calendar month at the first-of-month boundary.
If an unmetered renewal cannot be paid in full, the service is suspended. Adding funds may allow the renewal to be retried before the payment deadline shown in the portal. A successful retry charges the full calendar month and resumes the service.
You authorize us to deduct valid charges from your account balance. Services may be suspended when the account balance is insufficient. A service that remains suspended may later be deleted after notice. Adding funds may resume eligible services.
5. Service management and cancellation
Services remain active and billable until deleted, until a scheduled cancellation is processed, or until suspended under a condition that stops billing. Customer pause is not supported. Configuration changes and deletion requests may take several minutes while they are applied. You are responsible for reviewing pending changes, service state, usage, and balance in the portal.
A service cannot switch between metered and unmetered billing. A metered service may be deleted through the portal. An unmetered service cannot be cancelled during its prepaid term; cancellation may only be scheduled for its paid-through boundary and may be withdrawn before it is processed. There is no refund for an unused portion of a prepaid commitment.
Immediate account closure requires that no services or pending charges remain. If active unmetered services remain, account closure schedules their cancellation and completes after the last paid-through boundary. Historical records may remain where needed for security, accounting, dispute resolution, or legal compliance.
6. Refunds and disputes
Service payments, active-time charges, transfer charges, and prepaid unmetered commitments are nonrefundable except for confirmed billing errors or where required by law. If you believe a charge is incorrect, submit a support ticket with enough detail for us to investigate.
7. Suspension and termination
We may suspend or terminate an account or service immediately when we reasonably believe it violates these Terms or the Acceptable Use Policy, creates a security or legal risk, harms an address or network reputation, interferes with another user or provider, or requires emergency action. We may refuse reactivation until the issue is corrected.
We may also discontinue an account or service where required by law, a provider, loss of authority to use a resource, or operational necessity. Rights that by their nature should survive termination, including payment obligations, audit and dispute records, limitations of liability, indemnity, and governing law, will survive.
8. Intellectual property
Pathfabric software, documentation, branding, portal content, and service-generated materials remain owned by IT7 Networks Inc. or their respective licensors.
9. Limitation of liability
To the maximum extent permitted by law, IT7 Networks Inc. and its directors, officers, employees, contractors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss; lost profit, revenue, opportunity, goodwill, or data; business interruption; or claims arising from customer systems, applications, routing choices, attacks, third-party networks, or unauthorized account use.
To the maximum extent permitted by law, our total cumulative liability arising from Pathfabric will not exceed the amount paid for the affected service during the three months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded.
10. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless IT7 Networks Inc. and its directors, officers, employees, contractors, and providers against third-party claims, demands, losses, penalties, costs, and reasonable legal expenses arising from your account, systems, traffic, content, customers, violation of law, or breach of these Terms or the Acceptable Use Policy.
11. Changes
We may update these Terms. We will notify you of material changes where required by applicable law.
12. General
These Terms and incorporated policies are the entire agreement concerning Pathfabric and replace earlier Pathfabric terms. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without our written approval. We may assign it as part of a restructuring, sale, or transfer of the service.
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. You and IT7 Networks Inc. submit to the exclusive jurisdiction of the courts of British Columbia, Canada. The governing language is English.
